Terms of Service

1. Service Description

Signal by TheraPreneur ("Signal," "the Service") is a web-based AI clinical intelligence and practice management platform operated by TheraPreneur ("we," "us," or "our"). The Service is designed exclusively for licensed mental health professionals and includes:

  • Real-time voice session analysis with emotion detection, crisis risk assessment, and AI-generated clinical notes.
  • Practice management features including scheduling, client management, billing, and insurance claims submission.
  • AI-powered tools including Amelia (billing agent), predictive analytics, outcome tracking, and website builder.

2. Eligibility and Account Registration

The Service is available only to licensed mental health professionals and their authorized staff. By registering, you represent that you hold a valid professional license in your jurisdiction and are authorized to provide mental health services.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.

3. Subscription and Payment Terms

3.1 Subscription Fee

The Service is offered at $25 per practitioner per month. Admin and receptionist seats are included at no additional cost. New accounts receive a 60-day free trial with a $50 signup bonus (covering approximately 2 months of subscription and $10 in voice credit).

3.2 Voice Session Pricing

Live voice session analysis is billed at $0.06 per minute (6 cents/min), deducted from your prepaid wallet balance. You must maintain a positive wallet balance to use voice features.

3.3 Insurance Claims

Each practitioner receives 50 free insurance claim submissions per month. Additional claims are billed at $0.25 per claim.

3.4 Payment Processing

All payments are processed securely through Stripe, Inc. Wallet top-ups are non-refundable except as required by law. Prices exclude applicable taxes (GST, HST, or sales tax). Wallet balances do not expire.

4. User Obligations

As a user of Signal, you agree to:

  • Use the Service only for lawful purposes and in accordance with your professional licensure requirements.
  • Obtain appropriate informed consent from clients before using AI-powered session analysis or recording features.
  • Maintain the confidentiality and security of client data in accordance with HIPAA, PIPEDA, and applicable state/provincial laws.
  • Review and verify all AI-generated clinical content (notes, assessments, suggestions) before relying on them for clinical decisions. AI outputs are assistive tools, not clinical determinations.
  • Not share your account credentials or allow unauthorized individuals to access the platform.
  • Not attempt to reverse-engineer, decompile, or extract our proprietary algorithms or models.

5. Acceptable Use

You may not use the Service to:

  • Practice beyond the scope of your professional license.
  • Store, transmit, or process data unrelated to legitimate clinical or practice management purposes.
  • Interfere with or disrupt the Service, servers, or networks.
  • Attempt to gain unauthorized access to other users' data or accounts.
  • Use the Service for any purpose that violates HIPAA, PIPEDA, 42 CFR Part 2, or any other applicable law.
  • Resell, sublicense, or redistribute access to the Service without our written consent.

6. HIPAA Business Associate Agreement

To the extent that we create, receive, maintain, or transmit Protected Health Information ("PHI") on your behalf, we agree to enter into a Business Associate Agreement ("BAA") as required under HIPAA. The BAA is incorporated by reference into these Terms. Key obligations include:

  • Implementing appropriate administrative, physical, and technical safeguards to protect PHI.
  • Reporting any security incidents or breaches of unsecured PHI.
  • Ensuring that any subcontractors who access PHI agree to the same restrictions and conditions.
  • Making PHI available for individual access requests and amendments as required.
  • Returning or destroying PHI upon termination of the agreement, where feasible.

7. AI Disclaimer

Signal uses artificial intelligence to assist with clinical documentation, emotion analysis, risk detection, and practice analytics. These AI features are provided as clinical decision support tools only and do not constitute medical advice, diagnosis, or treatment recommendations.

You, as the licensed clinician, bear full professional responsibility for all clinical decisions and documentation. AI outputs should always be reviewed, verified, and modified as needed based on your clinical judgment.

8. Intellectual Property

The Service, including its software, algorithms, designs, and documentation, is owned by TheraPreneur and protected by intellectual property laws. You retain ownership of all client data and clinical content you create using the Service.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal clinical and practice management purposes during your subscription.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERAPRENEUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE DO NOT ASSUME LIABILITY FOR CLINICAL OUTCOMES, TREATMENT DECISIONS, OR PROFESSIONAL ACTIONS TAKEN BASED ON AI-GENERATED CONTENT. THE SERVICE IS A TOOL TO ASSIST YOUR PROFESSIONAL PRACTICE, NOT A SUBSTITUTE FOR CLINICAL JUDGMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless TheraPreneur and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

You may cancel your subscription at any time. Upon cancellation, your access continues through the end of your current billing period. We may suspend or terminate your account if you violate these Terms or engage in conduct that may harm the Service or other users.

Upon termination, we will make your data available for export for 30 days. After that period, we may delete your data except as required by law or our data retention obligations under HIPAA. Wallet balances remaining at termination are non-refundable.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We will provide reasonable advance notice of planned downtime when possible. The Service includes an offline recording mode to mitigate the impact of connectivity issues during sessions.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the platform or via email at least 30 days before taking effect. Your continued use after changes take effect constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in a court of competent jurisdiction.
